Description of service

Visprisca provides a programmatic advertising platform, including Visprisca, our automated bidding and optimization engine, for advertisers, agencies, and publishers.

Eligibility & accounts

You must be legally able to enter a binding contract to use Visprisca. You're responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

Advertiser & agency obligations

• Campaigns and creatives must comply with applicable advertising law and our acceptable use policy.
• You represent that you have the rights to all creative content, targeting data, and claims used in your campaigns.
• You're responsible for funding your account in accordance with our billing terms.

Rule Engine Optimization - added responsibility

If you use Rule Engine Optimization to submit custom bidding rules, you're responsible for the business outcome of those rules; Visprisca's review and approval step is a safety and compliance check, not a guarantee of campaign performance.

Prohibited use

No fraudulent traffic generation, no circumvention of platform security, no reverse-engineering of Visprisca's models, and no use of the platform to violate applicable law.

Intellectual property

Visprisca, including all underlying models and software, remains our property. Clients retain ownership of their own campaign and creative content.

Disclaimers & limitation of liability

The service is provided "as is." Visprisca is not liable for indirect or consequential damages, to the maximum extent permitted by law. Liability caps are finalized in the signed service agreement.

Termination

Either party may terminate per the terms of the applicable service agreement. We may suspend accounts for violation of these Terms or suspected fraud.

Governing law

These Terms are governed by the laws of India, and disputes are subject to the exclusive jurisdiction of the courts of Bengaluru, Karnataka, unless otherwise agreed in a signed service agreement.

Changes to these terms

We'll notify registered clients of material changes before they take effect.
